1. Parties and scope
This agreement is between you, the individual or organization using PHRASER, and AUDIVOSO, the provider of PHRASER ("AUDIVOSO"). It governs your use of PHRASER, including its plugin and standalone formats, updates, and bundled content, except where separate third-party terms apply.
By selecting the acceptance option presented with this agreement, you accept its terms. If you do not agree, do not complete installation or use PHRASER. This does not remove any statutory cancellation or refund rights. If you act for an organization, you must have authority to bind it.
2. Your license
Subject to the applicable purchase or trial terms, AUDIVOSO grants you a limited, non-exclusive license to install and use PHRASER for your music production work, including commercial projects and client work. The license is not transferable except with AUDIVOSO's written permission or where applicable law gives you a right to transfer it.
The license duration, permitted users, and device or activation allowance are those disclosed for your license when you purchase it or start a trial. You may use the supplied plugin and standalone formats within that allowance. You may make copies reasonably necessary for authorized installation and backup. Your account and activation credentials must not be shared with unauthorized users.
3. Music, MIDI, and bundled content
As between you and AUDIVOSO, you retain your rights in your original musical contributions and projects. AUDIVOSO does not claim ownership of your projects merely because you use PHRASER to create them.
You may edit, export, perform, distribute, and commercially exploit music and MIDI created through authorized use of PHRASER without an additional royalty to AUDIVOSO. This permission does not guarantee that generated material is unique, qualifies for copyright protection, or is free of third-party rights. You remain responsible for material you import and for obtaining any other permissions your project requires.
Bundled samples and presets may be used as part of your musical works to the extent permitted by their applicable licenses. You must not extract or redistribute the software, sample library, or other bundled content as a standalone library, instrument, or competing content product unless its applicable license expressly permits that use. Separate third-party notices and licenses continue to apply to their components; this agreement does not reduce rights those licenses grant you.
4. Restrictions
Except as expressly permitted by this agreement, an applicable third-party license, or mandatory law, you must not distribute, sell, sublicense, rent, or make the software or your license available to unauthorized users. You must not bypass licensing controls, remove ownership notices, or reverse engineer, decompile, or disassemble the software. Nothing in this section restricts activities that applicable law permits despite contractual restrictions, including applicable interoperability rights.
5. Activation and trials
PHRASER uses Moonbase services for account-based activation and license validation. An internet connection is required for initial activation, and the application performs periodic online license checks. Indefinite offline use and manual offline activation are not supported by the current release. Limited offline use remains subject to the license's validity and the application's applicable grace period.
Trial duration and limitations are disclosed when you start a trial. Use after a trial expires requires an appropriate valid license. These terms do not themselves authorize a payment or recurring subscription; any payment authorization must be agreed separately in the purchase flow.
If activation fails, your device allowance is exhausted, or you need help moving to another computer, contact contact@audivoso.com. Technical validation problems do not by themselves remove your statutory rights.
6. Purchases through Moonbase
Where a purchase is made through Moonbase, the Moonbase entity identified at checkout and on your receipt is the seller and merchant of record. Your order and Moonbase's buyer terms govern that sales transaction, including payment, tax, delivery, and applicable withdrawal rights. AUDIVOSO licenses PHRASER to you under this separate agreement and handles product support. Moonbase is not a party to this software license.
This agreement does not override Moonbase's sales terms or limit any mandatory consumer rights. For payment or withdrawal questions, use the seller's contact details on your order or support@moonbase.sh. For product or license support, contact contact@audivoso.com.

7. Privacy
Account, activation, and license validation involve processing personal data. AUDIVOSO's privacy policy explains its processing, and Moonbase's privacy policy explains Moonbase's processing. Accepting this agreement does not constitute consent to optional marketing or analytics.

8. Updates, support, and changes
Any promised updates, compatibility, support period, or included services are those stated for your purchase, together with obligations imposed by applicable law. This agreement does not promise unlimited future major upgrades or perpetual compatibility with every operating system or host.
Changes to website text alone do not retroactively reduce rights already granted for your purchase. AUDIVOSO will provide notices and obtain any agreement required by law for material changes affecting existing rights.
9. Expiry and termination
A time-limited license ends when its agreed term expires unless renewed. AUDIVOSO may terminate a license for a material breach of this agreement, subject to applicable law and any required notice and opportunity to remedy the breach. A license is not revocable merely at AUDIVOSO's whim.
When your right to use PHRASER ends, stop using it and remove unauthorized copies, except where retention is permitted or required by law. This does not remove rights in music lawfully created during authorized use, subject to applicable third-party rights. Termination does not extinguish statutory rights or remedies, including applicable refund rights.
10. Warranties and statutory rights
Except for express commitments and rights that cannot lawfully be excluded, PHRASER is supplied "as is" and "as available". To the extent permitted by applicable law, AUDIVOSO disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in this agreement excludes or limits rights or liabilities that cannot lawfully be excluded or limited, including applicable consumer rights concerning conformity, necessary updates, repair, replacement, price reduction, or refunds. Mandatory protections available in your country continue to apply. No mandatory arbitration or exclusive foreign court requirement is imposed on consumers by this agreement.
